Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CompliLearn platform and services provided by CompliLearn (Pty) Ltd ("CompliLearn", "we", "us", or "our"), a company registered in the Republic of Botswana with its principal office in Gaborone. By creating an account, accessing, or using any part of the CompliLearn platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the platform.
1. Acceptance of Terms
By registering for an account, subscribing to a plan, or otherwise accessing or using the CompliLearn platform at complilearn.co.bw, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and CompliLearn (Pty) Ltd.
If you are accepting these Terms on behalf of a healthcare practice, clinic, hospital, or other organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" or "your" shall include that organisation.
2. Description of Service
CompliLearn provides an online data protection training platform specifically designed for healthcare teams operating in Botswana. The platform helps healthcare practitioners and support staff understand and comply with Botswana's Data Protection Act, 2024, through:
- AI-powered training scenarios: Interactive, real-world data protection scenarios tailored to healthcare settings such as clinics, dental practices, pharmacies, and hospitals in Botswana.
- Progress tracking: Dashboards for both clinic owners and employees to monitor individual and team-wide training progress.
- Compliance reporting: Organisation-level reports that demonstrate your team's readiness for data protection compliance.
- Certificates of completion: Digital certificates issued to employees who successfully complete the full training programme.
CompliLearn is a training tool and does not provide legal advice. While our content is designed to align with Botswana's Data Protection Act, 2024, completion of training does not guarantee regulatory compliance. You should consult a qualified legal professional for specific compliance questions.
3. Account Registration and Responsibilities
To use the CompliLearn platform, a clinic owner, practice manager, or authorised representative ("Account Owner") must create an account and subscribe to a plan. The Account Owner is responsible for:
- Providing accurate and complete registration information, including the organisation name, contact details, and number of employees.
- Adding employees to the platform and managing their access to training scenarios.
- Ensuring that all employees added to the account have consented to the use of the platform and the processing of their personal data in accordance with our Privacy Policy.
- Maintaining the confidentiality of account credentials and promptly notifying CompliLearn of any unauthorised access or security breach.
- Ensuring that all activity conducted through the account complies with these Terms.
Employees invited to the platform by the Account Owner will receive individual login credentials and are bound by these Terms upon accessing the platform. The Account Owner remains responsible for the actions of all users under their organisation's account.
4. Payment Terms
All prices on the CompliLearn platform are quoted in Botswana Pula (BWP). The following subscription plans are available:
- Starter Plan: Up to 3 users — P469/month or P1,199/quarter.
- Growth Plan: Up to 6 users — P859/month or P2,199/quarter.
- Professional Plan: Up to 10 users — P1,289/month or P3,299/quarter.
- Enterprise Plan: 11+ users — custom pricing. Contact us at support@complilearn.co.bw for a tailored quote.
Payment is due at the time of subscription or renewal. We accept payment methods as displayed on the platform at checkout. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law. CompliLearn reserves the right to adjust pricing with at least 30 days' written notice to Account Owners before the next billing cycle.
5. Subscription and Billing
Your subscription begins on the date of your first successful payment and provides access to the CompliLearn training platform for the duration of the selected plan:
- Monthly subscriptions renew automatically on the same date each month. You may cancel at any time before the next renewal date. Upon cancellation, you retain access until the end of the current billing period.
- Quarterly subscriptions provide access for a fixed 3-month period from the date of purchase. Access expires automatically at the end of the quarterly term unless renewed.
- Enterprise subscriptions are governed by the specific terms agreed upon in the enterprise agreement.
If payment fails, we will attempt to process the charge up to three additional times over a 10-day period. If payment cannot be collected, your account may be suspended until the outstanding balance is resolved. Employees under a suspended account will lose access to training scenarios until the account is reactivated.
6. Training and Certification
The CompliLearn training programme consists of 40 interactive data protection scenarios covering key areas of the Botswana Data Protection Act, 2024, as they apply to healthcare settings. Each scenario is designed to be completed individually by the assigned employee.
- Completion requirement: An employee must successfully complete all 40 scenarios to receive a Certificate of Completion.
- Certificate validity: Certificates are valid for 12 months from the date of issue. After expiry, employees are encouraged to undertake refresher training to maintain their knowledge and ensure ongoing compliance.
- Certificate scope: Certificates confirm that the holder has completed CompliLearn's data protection training programme. They do not constitute a professional qualification, legal certification, or guarantee of regulatory compliance.
- Honest participation: Employees must complete scenarios honestly and individually. Sharing answers, using automated tools to complete scenarios, or having another person complete scenarios on your behalf is strictly prohibited and may result in revocation of certificates and account termination.
7. Intellectual Property
All content on the CompliLearn platform, including but not limited to training scenarios, text, graphics, logos, icons, images, software, course materials, AI-generated content, certificates, and the overall design and layout of the platform, is the exclusive property of CompliLearn (Pty) Ltd or its licensors and is protected by the copyright laws of the Republic of Botswana and international intellectual property treaties.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform content solely for the purpose of data protection training within your organisation. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any platform content without prior written consent from CompliLearn.
8. Acceptable Use
You agree to use the CompliLearn platform only for its intended purpose of data protection training and in compliance with all applicable laws of the Republic of Botswana. You must not:
- Use the platform for any unlawful, fraudulent, or harmful purpose.
- Attempt to gain unauthorised access to the platform, other users' accounts, or CompliLearn's systems or networks.
- Interfere with or disrupt the platform's functionality, servers, or networks, including through the use of viruses, bots, or denial-of-service attacks.
- Reverse engineer, decompile, or disassemble any part of the platform's software.
- Share, resell, or redistribute your account access or platform content to third parties outside your organisation.
- Use automated scripts, scrapers, or bots to access the platform or extract content.
- Submit false information during account registration or scenario completion.
- Use the platform in a manner that could damage CompliLearn's reputation or brand.
CompliLearn reserves the right to suspend or terminate your access without prior notice if we reasonably determine that you have violated these acceptable use provisions.
9. Limitation of Liability
To the maximum extent permitted by the laws of the Republic of Botswana:
- The CompliLearn platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the platform's accuracy, reliability, availability, or fitness for a particular purpose.
- CompliLearn shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, including but not limited to loss of revenue, loss of data, business interruption, or regulatory penalties.
- CompliLearn's total aggregate liability for any claims arising under these Terms shall not exceed the total amount you have paid to CompliLearn in the 12 months immediately preceding the event giving rise to the claim.
- CompliLearn does not guarantee that the platform will be uninterrupted, error-free, or free from viruses or other harmful components. We will, however, use reasonable efforts to maintain platform availability and address technical issues promptly.
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under the laws of the Republic of Botswana.
10. Termination
Either party may terminate the subscription and these Terms as follows:
- By the Account Owner: You may cancel your subscription at any time through your account settings or by contacting us at support@complilearn.co.bw. Cancellation takes effect at the end of the current billing period, and you will retain access until that date. No pro-rata refunds will be issued for partial billing periods.
- By CompliLearn: We reserve the right to suspend or terminate your account immediately if you breach any provision of these Terms, fail to pay outstanding fees, or engage in conduct that we reasonably determine to be harmful to the platform or other users. We will make reasonable efforts to notify you before or promptly after suspension or termination.
Upon termination, all licences granted under these Terms cease immediately. You will no longer have access to training scenarios, dashboards, or compliance reports. Certificates issued prior to termination remain valid for their stated 12-month validity period. CompliLearn will retain your data in accordance with the retention periods described in our Privacy Policy.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Botswana, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Botswana, sitting in Gaborone. Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
12. Changes to Terms
CompliLearn reserves the right to modify these Terms at any time. When we make material changes, we will notify Account Owners by email at least 14 days before the updated Terms take effect. The revised Terms will also be posted on this page with an updated "Last updated" date. Your continued use of the platform after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of the platform and cancel your subscription before the effective date.
